Transfer restrictions

An arrangement in the articles of association of a B.V. that concerned the restriction of the transfer options of shares. A shareholder first required approval from his co-shareholders for the sale of his shares, or had to first offer the shares to them (right of first refusal). Such transfer restrictions must be included in all articles of association. With the implementation of the Flex-BV the transfer restrictions were abolished and shareholders can personally determine whether a restriction is included in the articles of association.
