limited partnership
Under Dutch law, a limited partnership (or: LP) is a business entity which consists of one or more general partners and one or more limited partners. The limited partner’s role is merely of capital investor and does not have rights to manage the company. The management and daily operations is the responsibility of the general partner(s).

If there are more than one general partners they form among themselves a general partnership (under Dutch law).
Unlike a limited company, a limited partnership is not a separate legal person and has no separate capital. This means that the partners are personally liable for debts.
